Trian Offers $7.35 a Share for Wendy’s in Non-Binding $1.4 Billion Bid
Trian Fund Management and three partners proposed on 28 October 2026 to take Wendy's private at $7.35 a share, a non-binding offer worth about $1.4 billion.

Trian Fund Management, the investment firm led by Nelson Peltz, and three partners proposed on 28 October 2026 to acquire all Wendy’s common stock they do not already own for $7.35 a share in cash. The offer is non-binding and was disclosed in an amendment to Trian’s Schedule 13D filed with the U.S. Securities and Exchange Commission.
The bidding group also includes Flynn Group, BlueFive Capital and Sixth Street Partners. Reuters, as carried by KSL.com, put the value at about $1.4 billion and the premium at about 20% over Wendy’s closing price on Tuesday. Reuters also reported that Wendy’s shares rose about 15% to $7.10 after the news.
Terms of the Non-Binding Proposal
The letter, dated 28 October 2026 and filed as an exhibit to the Schedule 13D/A, offers $7.35 in cash and describes the price as an approximate 20% premium to the 27 October closing price. It assumes about 194.0 million fully diluted shares. On that count the implied value is roughly $1.43 billion. The letter does not state a total, so that figure is a calculation.
According to the letter, the proposal requires no new debt and has no financing condition. the bidders anticipate that Wendy’s existing securitization financing would remain in place, and equity commitment letters would be delivered at signing. The bidders anticipate that the deal would be structured as a Delaware merger requiring approval from a majority of outstanding shares. The Trian Group would agree to vote its shares in favor.
As of 4:00 p.m. New York time on 27 October 2026, Trian and related filing persons held 30,979,420 shares, about 16.25% of the 190,669,930 shares outstanding as of 31 July 2026. Trian Fund Management alone holds 14,943,466 shares, or 7.84%. Reuters gives the group’s stake as 16.3%.
Trian’s Stake
Trian and related filing persons held 30,979,420 shares as of 27 October 2026, about 16.25% of Wendy’s shares outstanding as of 31 July 2026, according to Amendment No. 65 to Schedule 13D.
A Sales Slide Behind the Bid
Wendy’s reported on 7 August 2026 that U.S. same-restaurant sales fell 7.0% in the second quarter from a year earlier, and U.S. systemwide sales fell 8.2%. The release cited lower traffic. CEO Bob Wright said traffic, the value proposition and franchisee economics are ‘not meeting our expectations.’
The same release withdrew Wendy’s 2026 financial outlook and cut the quarterly dividend to $0.07 a share. Reuters, via KSL.com, said on 28 October that the stock was down about 26% so far this year.
Nation’s Restaurant News (NRN) reports steeper figures for the quarter: a 7.9% drop in same-store sales and a 12.5% fall in traffic, with same-store sales down for six straight quarters. The company’s release gives 7.0% for U.S. same-restaurant sales, so the two figures do not match.
Reuters reports that the bidding group told Wendy’s board that private ownership is the better path.
Wendy’s Response and the Special Committee
Reuters reported that Wendy’s did not respond to a request for comment when its story was published. NRN, citing a company statement, reports that the board formed a committee of directors not affiliated with Trian to evaluate the offer, and that Wendy’s hired Morgan Stanley as financial adviser and Simpson Thacher and Bartlett as legal adviser.
NRN reports that the company said it is ‘moving with urgency’ under Wright and has identified core strategic areas to improve performance.
Trian declined to comment beyond the filing, according to Reuters. The letter, signed by Nelson Peltz and Greg Flynn, expects the special committee of independent, disinterested directors to consider the proposal and make a recommendation to the board.
The bidders may modify or withdraw it at any time, and no legal obligation arises unless and until mutually acceptable definitive agreements are entered into.
Status and Open Terms as of 1 November 2026
As of 1 November 2026, no revised offer, committee recommendation or definitive agreement has been announced in the sources reviewed. The letter calls the proposal an ‘expression of interest only.’ The bidders may modify or withdraw it at any time, and no legal obligation arises unless and until mutually acceptable definitive agreements are entered into.
The bidders say they are highly confident they can negotiate definitive agreements ‘over the coming weeks.’ It also assumes that change-of-control payments, professional fees and other transaction costs are in line with market practice, and that none of the Company’s material contractual arrangements will be terminated or modified as a result of the Proposed Transaction.
Trian’s Amendment No. 65 to Schedule 13D, with signatures dated 28 October 2026, includes the letter. No date for the committee’s formation has been given.
